Nissan and Honda sign memorandum of understanding to evaluate business integration

ROME (ITALPRESS) – Nissan and Honda have signed a memorandum of understanding (MOU) to initiate discussions and reflections on the integration of activities between the two companies through the establishment of a joint holding company. To further accelerate their efforts toward achieving a zero-carbon and zero-road accident society, Nissan and Honda signed an MOU on March 15 regarding a strategic partnership for vehicle intelligence and electrification. Since then, the two companies have held talks aimed at collaboration in various areas. On August 1, they signed an additional MOU to deepen the framework of the strategic partnership. The companies also announced that they have agreed to carry out joint research on key technologies within next-generation software-defined vehicle (SDV) platforms, particularly in the crucial areas of vehicle intelligence and electrification, to pursue focused discussions toward more concrete collaboration.During this period, Nissan and Honda have been engaged in discussions to evaluate various possibilities and options. At the same time, the market environment for both companies and the automotive industry in general has changed rapidly, and the speed of technological innovation has continued to accelerate. The memorandum of understanding between Nissan and Honda announced today is intended to be an option to maintain global competitiveness and to enable the two companies to continue to provide products and services that are better suited to the needs of customers around the world. If the business integration comes to fruition, Nissan and Honda can aim to integrate their respective management resources-such as knowledge, human resources, and technology-to create deeper synergies, improve their ability to respond to market changes, and envision improved business value in the medium and long term. In addition, the two companies can aim to further contribute to the development of Japan’s industrial base as a “leading global mobility company” by integrating Honda’s four-wheeled vehicle business and Honda’s motorcycle and electric product business, while continuing to make the two brands more attractive and provide more innovative and competitive products and services to customers around the world. “Today marks a pivotal moment when we begin to discuss a business integration that has the potential to shape our future. If realized, I believe that by combining the strengths of both companies, we can deliver unparalleled value to customers around the world who value our respective brands. Together, we can create unique mobility solutions for them that neither company would have a way to achieve on their own,” said Makoto Uchida, Nissan Director, President, CEO and Representative Executive Office. “Creating new value for mobility by pooling resources, including the knowledge, talents and technologies that Honda and Nissan have developed over the years, is essential to overcoming the challenging changes that the automotive industry is facing. Honda and Nissan are two companies with distinctive strengths. We are still in the early stages, but in order to find a direction for the possibility of business integration by the end of January 2025, which has not yet been decided, we strive to be the one and only leading company that creates new value for mobility through a solution that can only be driven through the synthesis of the two teams,” said Toshihiro Mibe, Honda Director and Representative Executive Officer.
